- A law firm;
- A certification laboratory;
- A financial advisor;
- A visa authority;
- A government agency;
- A guarantor of supplier performance.
We do not sell products, hold inventory, or act as the seller of goods. Our core value is judgment, risk reduction, structured analysis, coordination, and execution support.
3. Eligibility and Business Use
You must be at least 18 years old and legally capable of entering into binding agreements to use our services.
Our services are intended primarily for business, professional, entrepreneurial, procurement, sourcing, investment, or project evaluation purposes. 5. Scope Control
Not all services are included by default. A fixed-price service includes only the specific items described on the relevant service page, checkout page, written scope, or order confirmation.
Any additional work, custom requests, follow-up support, supplier outreach, quotation collection, negotiation, inspection, legal coordination, travel arrangement, sample handling, or project management may require a separate quote and separate approval.
We may decline, pause, or re-scope a service if your request falls outside the purchased service scope.
6. Purchases, Payments, and Guest Checkout
Our website may allow you to purchase services without creating an account. After purchase, we may contact you by email to collect requirements, confirm the service scope, and begin the service delivery process.
Payments may be processed by third-party payment providers such as Airwallex or other payment service providers. By purchasing a service, you agree to comply with the applicable payment provider’s terms and policies.
Prices are listed on the relevant service page or proposal. Prices may change from time to time. A price change will not affect an order already accepted unless the original order was based on an error or incomplete scope.
You are responsible for providing accurate billing, contact, and service information.

Unless otherwise stated, listed prices exclude any applicable taxes, bank charges, exchange rate differences, transfer fees, customs duties, shipping fees, travel expenses, third-party fees, inspection expenses, legal fees, certification fees, government fees, or other external costs.

8. Service Start and Client Information
Many of our services require information from you before work can begin. You agree to provide accurate, complete, and timely information, including product details, specifications, photos, samples, target quantities, quality requirements, certification requirements, budget range, timeline, supplier information, business objectives, and any other information reasonably needed for service delivery.
If the information you provide is incomplete, inaccurate, delayed, misleading, confidential without proper authorization, or outside the purchased scope, we may delay, pause, revise, or decline the service.
Delivery timelines begin only after we receive the required information and confirm that the scope is workable.
9. Service Delivery and Timelines
Any stated delivery time is an estimate unless expressly confirmed as a binding deadline in writing.
Delivery may be affected by:
- Late or incomplete client information;
- Supplier responsiveness;
- Factory availability;
- Travel restrictions;
- Local holidays;
- Industry complexity;
- Technical uncertainty;
- Third-party service provider schedules;
- Payment issues;
- Force majeure events;
- Changes in scope.
We will make reasonable efforts to deliver services professionally and within the stated or expected timeframe, but we do not guarantee exact delivery dates unless separately agreed in writing.
10. Service-Specific Limitations
10.1 Corporate Background Check
A corporate background check is based on available public records, official databases, business registration sources, litigation indicators, administrative penalty information, export-related indicators, and other accessible sources. It is not a full legal, financial, forensic, compliance, tax, or anti-bribery audit.
We do not guarantee that public records are complete, current, accurate, or free from omission.
10.2 Qualified Supplier Candidate List
A Qualified Supplier Candidate List provides pre-screened potential supplier candidates based on the information available and the requirements provided by the client.
Unless expressly included in the purchased scope, this service does not include supplier outreach, live negotiation, quotation collection, sample order management, factory audit, legal review, production monitoring, or final supplier selection.
Supplier inclusion in a list does not guarantee supplier acceptance, pricing, MOQ, lead time, certification status, quality performance, or successful cooperation.
10.3 Project Feasibility Analysis
Project Feasibility Analysis is an advisory and analytical service. It may consider technical, cost, regulatory, supply chain, market, execution, and risk factors based on available information.
It is not legal advice, investment advice, engineering certification, financial audit, tax advice, or a guarantee that the project will succeed.
10.4 Pre-Research Analysis and Industrial Cluster Intelligence
Pre-research and industrial intelligence reports are based on available information, industry logic, professional judgment, public sources, internal experience, and reasonable assumptions. They are intended to support early-stage decision-making, not to replace formal due diligence, legal review, market research, technical engineering, or final investment approval.
10.5 Factory Visit, Inspection, and Audit-Related Services
Factory visit and inspection services provide structured observations, photos, videos, interviews, and risk summaries within the agreed scope. Unless expressly stated, these services are not full factory audits, certification audits, social compliance audits, financial audits, quality management system audits, or laboratory tests.
Inspection results reflect the observed situation at the time of visit or inspection and do not guarantee future production quality or supplier performance.
10.6 Sample Inspection Service
Sample inspection is based on the sample provided, the agreed criteria, and practical inspection methods available for the service. It does not replace certified laboratory testing, regulatory approval, safety certification, product liability review, or mass-production quality control.
10.7 China Business Invitation Letter Support
China Business Invitation Letter Support assists with preparing or coordinating legitimate business invitation materials where appropriate. We do not guarantee visa issuance, consular approval, immigration clearance, travel permission, or acceptance by any government authority.
10.8 China Inspection Trip Planning
China Inspection Trip Planning provides itinerary suggestions, supplier visit sequencing, transportation recommendations, hotel-area suggestions, meeting agendas, and related planning support. Unless separately agreed, it does not include ticket purchase, hotel booking, visa services, travel insurance, personal guide service, or guaranteed access to any factory.
10.9 Legal Resource Referral and NNN Coordination
We are not a law firm and do not provide legal advice. Legal resource referral, NNN agreement coordination, IP support, dispute support, or contract-related assistance may involve third-party legal professionals. Their advice, fees, timelines, and outcomes are subject to their own terms.
10.10 Supplier Negotiation, Communication, and Dispute Support
We may help structure communication, translate requirements, identify red flags, and support negotiation. However, we do not guarantee supplier concessions, refund recovery, dispute resolution, price reduction, contract execution, or enforcement results.
11. No Guarantee of Business Outcome
We will use reasonable professional judgment, care, and effort in providing services. However, China sourcing and cross-border supply chain projects involve uncertainty.
We do not guarantee:
- Specific supplier prices, MOQs, or lead times;
- Supplier cooperation or acceptance;
- Factory authenticity beyond the scope of the performed check;
- Product quality in future production;
- Certification approval, visa approval, legal outcome, customs clearance, or logistics performance;
- Market success, investment return, dispute recovery, or availability of any specific supplier;
- Results outside our reasonable control.
Our services are intended to reduce uncertainty, not eliminate all risk.
12. Client Responsibilities
You agree to:
- Provide accurate and complete information;
- Respond promptly to reasonable requests;
- Review deliverables carefully;
- Make your own final business decisions;
- Ensure your products, business model, imports, exports, marketing claims, and use of suppliers comply with applicable laws;
- Obtain legal, tax, customs, certification, insurance, and compliance advice where necessary;
- Avoid sending confidential information unless appropriate confidentiality protection is in place;
- Use our deliverables only for lawful business purposes;
- Pay all agreed fees and third-party costs.
You are responsible for your own purchasing decisions, supplier contracts, product compliance, import obligations, product liability risks, and commercial outcomes.
13. Confidentiality
We will take reasonable steps to protect confidential project information you provide to us. However, standard service communication does not automatically create a formal NDA, NNN agreement, attorney-client relationship, or legally privileged relationship. If formal confidentiality protection is required, it must be agreed in a separate written agreement before confidential information is submitted.
We may share relevant information with team members, consultants, partners, inspectors, translators, legal professionals, suppliers, or service providers only where reasonably necessary for the service.
14. Client Materials and Intellectual Property
You retain ownership of materials you provide to us, including product information, photos, drawings, samples, specifications, and business documents.
By providing materials to us, you grant us a limited right to use, review, analyze, store, reproduce, translate, summarize, and share those materials as reasonably necessary to evaluate, quote, perform, manage, or deliver the requested service.
You confirm that you have the right to provide those materials and that our use of them for the service will not violate third-party rights.
15. Our Content and Deliverables
All website content, service descriptions, frameworks, report structures, templates, graphics, text, branding, and other materials created by us remain owned by us or our licensors unless otherwise agreed in writing.
Paid deliverables prepared specifically for you may be used by you for your internal business decision-making purposes. 17. Third-Party Services and Suppliers

If you enter into a separate agreement with a supplier, factory, legal professional, logistics provider, certification provider, or other third party, that relationship is between you and that third party.
18. Refunds and Cancellations
Refund eligibility depends on the service type, the service page, the order status, and whether work has started.
Unless a specific service page, checkout page, written proposal, or separate agreement states otherwise:
- Refund requests must be submitted in writing to info@globalseraph.com;
- We may issue a refund if the request is made before service work has started;
- Once research, analysis, inspection preparation, supplier screening, communication, coordination, report writing, itinerary planning, document preparation, or other service activity has started, fees are generally non-refundable;
- Completed deliverables are non-refundable;
- Third-party fees, payment processing fees, travel costs, inspection costs, legal fees, logistics fees, and other external costs may be non-refundable;
- If we determine that a project is unsuitable after reviewing the initial requirements, we may offer re-scoping, credit, partial refund, or cancellation at our discretion.
Any “money-back guarantee,” refund statement, cancellation rule, or rescheduling rule shown on a specific service page or agreed in writing will apply to that specific service.
19. Rescheduling
For consultation, meeting, visit, inspection, or time-based services, rescheduling may be allowed if requested with reasonable advance notice and if team or third-party availability permits.
Missed meetings, late arrivals, last-minute cancellations, factory unavailability caused by the client, or failure to provide required information may result in additional fees or forfeiture of the scheduled service.
20. Prohibited Uses
You may not use our website or services to:
- Violate any law or regulation;
- Infringe intellectual property rights;
- Provide false, misleading, or unauthorized information;

To the maximum extent permitted by law, our total liability for any claim related to a specific paid service will not exceed the amount you paid to us for that specific service.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
24. Indemnification
You agree to defend, indemnify, and hold harmless Seraph Global, its owners, directors, officers, employees, contractors, consultants, partners, and service providers from claims, damages, liabilities, costs, and expenses arising from:

- Your violation of these Terms;
- Your inaccurate, incomplete, misleading, or unauthorized information;

Before filing any formal claim, both parties agree to first attempt to resolve the dispute in good faith through written communication.
